I know you're trying, but still missing the boat.

It doesn't matter if you think there's no color loss...there's gross color loss.  Also, like I mentioned before, don't take jpegs and convert them to mugen stages.  Jpegs are compressed images.  The compression artifact alone makes backgrounds look bad in low res.  Use a very large, hi-quality jpeg, if you need to, and then shrink the image (but don't save as jpeg afterwards).

The shadows are off.  Look at your own picture.  The shadows should be pointing downwards.  Try to match the shadow color with that in the picture.

I see what you did with the parallax.  I guess it could work.  The parallax seems ok...well, except the yscale part.  Get ride of the yscale parameters.  It looks odd when you jump.

You can also see an error at both ends of the stage.  In fact, one of them, you can see in the preview pic.  Because of the way you're trying to use parallax, it works until you come up to an object with sharp contrast.  So, in the bottom left corner, you can see the parking lines break up.  In the bottom right corner, you have no background behind the parallax floor, so you see 'garbage' there.  A simple way to fix both is to shorten the stage width.  Adjust boundleft and boundright.
